1. About Firmly
Firmly is a software service that helps Indian startup founders draft, save, and send offer letters and (over time) other employment paperwork. The service is operated under the Firmly brand at tryfirmly.in.
2. Acceptance
By creating an account or otherwise using Firmly, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the service.
You also confirm that you're at least 18 years old and have authority to enter into these Terms on behalf of the company whose offer letters you'll be drafting.
3. Your account
- You sign in with Google. The Google account email becomes your account identifier.
- Keep your account credentials secure — anyone with access to your Google account can access your Firmly data.
- One person, one account. Don't share credentials.
4. What Firmly is — and isn't
Firmly is a drafting tool. It is not a law firm, does not provide legal advice, and is not your lawyer.
The templates we generate are based on Indian-law-compliant patterns, provided as generally drafted starting points. They are not legal advice tailored to your specific business, your specific candidate, or your specific dispute.
If you need real legal advice — about a specific clause for your situation, about a candidate dispute, about labour-law compliance for your registered state, about whether a specific term is enforceable for your specific role — you should engage qualified lawyer. Firmly is not a substitute for that, and using Firmly does not create any legal advisory relationship between you and us, or you and any lawyer who reviews our templates.
5. Your responsibility for content
You are solely responsible for:
- The accuracy of every detail you enter — candidate name, email, role, compensation, dates, clause selections.
- The legality of the offer letter you ultimately send. You choose the clauses; you choose the numbers; you sign and send.
- Having the right to enter the candidate's personal data (see Privacy Policy §4 — the founder is the data controller).
- What happens after you send the offer letter — including but not limited to candidate disputes, joining-day surprises, breach of the contract, and any consequences thereof.
Each time you click Send to candidate in Firmly, you re-acknowledge this responsibility through the in-app disclaimer. That acknowledgment is part of these Terms.
6. Service availability and pricing
Firmly is in early access. The service is provided "as is" and "as available" with no uptime guarantee. We may change, suspend, or discontinue features at our discretion as the product evolves.
Pricing: Firmly is free during early access. We will give at least 30 days' notice in-app before introducing paid tiers. When paid tiers launch, your existing drafts and account won't be deleted — you'll be invited to choose a plan.
7. Limitation of liability
To the maximum extent permitted by Indian law, Firmly is not liable for:
- Disputes between you and a candidate.
- Loss of data caused by user error (e.g. accidentally deleting a draft).
- Indirect, incidental, special, or consequential damages.
- Lost profits, lost revenues, lost business opportunities, or loss of goodwill.
- Any consequence of you relying on Firmly templates as legal advice (see §4).
Our total cumulative liability for any claim arising out of or relating to these Terms or the service is capped at the greater of (a) the fees you paid to Firmly in the 12 months before the claim arose, or (b) ₹100. During early access, the fees paid are zero, so the cap is ₹100.
8. Indemnification
You agree to indemnify and hold Firmly (and its operators, employees, and contractors) harmless from any claims, damages, or expenses arising from:
- Your use of the service in violation of these Terms.
- Claims by candidates whose data you entered into Firmly without proper authorization.
- Claims related to the content of letters you sent through Firmly.
9. Intellectual property
- Firmly owns the software, the website, the brand, and the underlying template structures.
- You own the content you enter (your company details, your offer letter drafts) and the resulting PDFs. We grant you a perpetual, worldwide, royalty-free license to use those PDFs for any lawful business purpose.
- You grant Firmly a limited license to process your content solely to operate the service — render previews, generate PDFs, deliver emails.
10. Acceptable use
You agree not to:
- Use Firmly to draft documents for unlawful purposes (e.g. fraudulent offers, tax evasion, exploitative employment terms that violate Indian labour law).
- Reverse-engineer, scrape, or attempt to disrupt the service.
- Use Firmly to impersonate someone else or another company.
- Submit candidate data you don't have the right to process.
11. Termination
You can stop using Firmly at any time and request account deletion via WhatsApp at +91 70327 51255. We may suspend or terminate your account if you violate these Terms, attempt to abuse the service, or use Firmly for unlawful purposes.
12. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or your use of Firmly shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

13. Changes to these Terms
We may update these Terms. Material changes will trigger an in-app notice on your next sign-in, and the Last updated date at the top of this page will change. Continued use of the service after a change means you accept the updated Terms.
